SUBSCRIPTION RESULTS



According to the decision of 24.03.2000 annual general meeting of AS Klementi 

shareholders and agreement for subscription of shares and convertible bonds 

(made on 31.03.2000), P.T.A.Group OY subscribed for 1,000,000 newly issued 

AS Klementi nominal ordinary shares (EEK 10 face value) and 200,000 convertible 

bonds (EEK 10 face value).



According the subscription agreement, P.T.A.Group OY will pay a total of 

EEK 8,550,000 for subscribed shares and EEK 2,000,000 for subscribed 

convertible bonds on 07.04.2000 at the latest. 245,000 AS Klementi shares 

in total value of EEK 2,450,000 will be used to settle P.T.A.Group OY claim 

against AS Klementi from 13.12.1999 loan agreement between P.T.A.Group OY 

and AS Klementi.
