ANNOUNCEMENT

 

RESULTS OF TAKE-OVER BID TO SHAREHOLDERS OF FAKTO

 

Autoinvesteeringute OÜ, registry code 10483436, having its address 

at Rüütli 4, 10130 Tallinn, announced on 08.12.2000 its offer to 

purchase all shares issued by AS Fakto, registry code 10179922, 

address Osmussaare tee 10, 13811 Tallinn (hereinafter "Fakto"), 

which are not already owned by the Offeror and parties acting in 

concert with the Offeror. The offer was valid between 11.12.2000 

and 08.01.2001.

 

Under the take-over bid Autoinvesteeringute OÜ acquired 10,399 

shares of Fakto, representing 2.39% of the shares in respect of 

which the offer was made, and 0.63% of all the shares issued by 

Fakto.

 

As of 08.01.2001, Autoinvesteeringute OÜ owned 763,908 shares of 

Fakto, representing 46.30% of all the shares and voting rights of 

Fakto.

 

As of 08.01.2001, Mr. Leho Siimsen as the party acting in concert 

with Autoinvesteeringute OÜ owned 451,851 shares of Fakto, 

representing 27.38% of all the shares and voting rights of Fakto.

 

In addition to the above Autoinvesteeringute OÜ acquired after the 

end of the take-over bid (on 09.01.2001) 4,487 Fakto shares at 

price of EEK 22.70 per share.

 

After all aforementioned transactions, as at 16.01.2001 

Autoinvesteeringute OÜ and Mr. Leho Siimsen as the party acting in 

concert with Autoinvesteeringute OÜ owned altogether 1,230,645 

shares in Fakto, representing 74.58% of all the shares and voting 

rights of Fakto.
