ANNOUNCEMENT



SHARE CAPITAL INCREASE



Pursuant to Article 349 and Section 3 Article 347 of the Commercial

Code and the Council resolution of AS Hansapank as of 25 January 2001

including, inter alia, the authorisation for the Board of Directors to

cancel the unsubscribed shares, and having regard to the results of

the subscription for the new shares from 01 February 2001 through 15

February 2001, the Board hereby resolves:



To confirm the subscription list.



To cancel 174,325 (one hundred and seventy four thousand three hundred

and twenty five) unsubscribed new shares.



To confirm that the number of new shares subscribed for shall be

92,675 (ninety two thousand six hundred and seventy five), the amount

of share capital increase shall be EEK 926,750 (nine hundred and

twenty six thousand seven hundred and fifty kroons), the total amount

paid in EEK 4,626,336 (four million six hundred and twenty six

thousand three hundred and thirty six kroons) including the premium in

the amount of EEK 3,699,586 (three million six hundred and ninety nine

thousand five hundred and eighty six kroons).



Hansabank will apply for the listing of the new shares after the

registration of the share capital increase in the commercial register.
