RESULTS OF TAKEOVER BID TO TALLINNA KÜLMHOONE AS SHAREHOLDERS

 

On 06.07.2001 AB Kauno Pieno Centras (registry code: 1059659, address: 

Kaunakiemo 1, 3000 Kaunas, Lithuania), made a public tender offer for 

the outstanding shares in Tallinna Külmhoone AS (registry code: 10030700,

address: Peterburi St. 42, 11415, Tallinn). The offer was valid 

from July 9 to August 17, 2001.

 

Under the take-over bid AB Kauno Pieno Centras acquired 161,985 shares 

of Tallinna Külmhoone AS, representing 35.7% of the shares in respect 

of which the offer was made, and 4.78% of all the shares issued 

by Tallinna Külmhoone AS.

 

As of 27.08.2001, AB Kauno Pieno Centras owned 3,179,276 shares of 

Tallinna Külmhoone, representing 93.87% of all the shares and voting 

rights of Tallinna Külmhoone AS.

 

As a result of the takeover bid the number of Tallinna Külmhoone AS 

shareholders decreased from 244 to 88.

 

As of 27.08.2001, AS Trigon Securities as the party acting in concert 

with AB Kauno Pieno Centras owned 0% in Tallinna Külmhoone AS shares.
