DECISIONS OF THE AGM OF LITHUANIAN HANSABANKAS



The General Shareholder Meeting of Hansabank’s Lithuanian subsidiary

AB Bankas Hansabankas approved all proposals as follows:



1. 2003 Activity Report

To approve the 2003 activity report.



2. Bank Auditors’ report

To approve the Auditors’ report.



3. Approval of 2003 financial statements

To approve the balance sheet as of 31 December 2003 and the income

statement for the year 2003.



4. Distribution of the Bank’s profit of 2003

To approve the proposal to allocate the net profit of the bank of LTL

60,938,770.22 earned in 2003 for covering the loss of LTL

71,451,089.72 incurred in previous years.



5. Approval of the Bank’s budget for 2004

To approve the budget for the year 2004.



The bank’s budgeted revenues for 2004 are LTL 255.5 million, operating

expenses LTL 166.5 million and net profit LTL 86.3 million.



6. Increase of the Bank’s share capital and establishment of

preemptive rights for acquiring of the new shares.

To increase the bank’s share capital from LTL 435,332,320 up to LTL

485,332,320 by issuing 5 million new ordinary registered shares with

face value of LTL 10 each. The new shares will be issued at a price of

LTL 10 each.

To grant the shareholders of the bank with a pre-emptive right to

acquire newly issued shares.



7. Amendments to the Bank’s articles of association

To change Item 4 of Section III of the bank’s articles of association

and word it as follows:

Bank’s share capital stands at LTL 485,332,320. It is made up of the

nominal value of 48,533,232 ordinary registered shares.
