PRX: Draft amendments to JSC “Parex banka” Charter, for approval by shareholders 

meeting of March 23, 2005



Shareholders meeting of AS “Parex banka” DECIDES:



3. To delete Article 4.6. 

4. To have Article 6 with the following wording:



“6.1. Management Board consists of 7 members. Council elects members of the 

      Management Board;  chairman of the board (president) and deputy chairman of 

      the board is elected from Management Board members. 

6.4.  All members of the board may represent Bank jointly.

6.5.  Management Board appoints two persona procura, with the authority to transfer, 

      pledge or encumber real estate.”
