CONVOCATION OF A GENERAL SHAREHOLDERS'    MEETING



The general meeting of SPAB Kauno Energija

shareholders which was to take place at 12pm, on 28 April 2000 at the

company's assembly hall at 86A Raudondvario pl., in Kaunas was not held

(due to the lack of quorum). The repeated general meeting of SPAB

shareholders will be held at 12pm, on 12 May 2000, at 86A Raudondvario pl.,

in Kaunas.

On the agenda:

1) report of the Board on the company's economic activity in 1999;

2) report of the internal auditor;

3) approval of audited financial statements of 1999;

4)  distribution of profit (loss) of 1999.
