NEW WORDING OF ARTICLES OF ASSOCIATION WAS REGISTERED



On 6 December 2000, a new wording of Articles of Association of

AB Rokiškio Sūris was registered with the Register of Enterprises.

Therefore, it is considered that reorganisation of AB Rokiškio Sūris and

AB Utenos Pienas by joining AB Utenos Pienas, which ceases its activity as

a legal entity, to AB Rokiškio Sūris is over. The authorised capital of

AB Rokiškio Sūris did not change and t constitutes LTL 47,462,700.

The authorised capital is constituted of 4,623,499 ORS and 122,771 shares of

agricultural producers. The par value is LTL 10 per share.
