MATERIAL EVENT



DECISIONS ADOPTED AT THE GENERAL SHAREHOLDERS’ MEETING



On 20 April 2001, a general meeting of AB Rokiškio Sūris shareholders’

took place. At the meeting:

1) the Board’s report for 2000 was approved;

2) audit conclusions were approved;

3) financial statements for 2000 were approved;

4) profit appropriation for 2000 was approved. The following procedure for

payment of dividends was approved: Dividends of 4.35% of the par value of

shares were approved. April 20, 2001 is established the accounting day.

The company’s employees will be paid dividends at the company’s cash desk from

14 May until 31 May 2001. Farmers and milk suppliers will be paid dividends

from 1 June until 29 June 2001. Milk suppliers will be paid dividends by

managers of dairies. Agricultural companies will be paid dividends by bank

transfer into the accounts of companies. The remaining shareholders will

be paid dividends from 2 July until 20 July 2001.

5) auditing company Price Waterhouse Coopers was elected auditor of

AB Rokiškio Sūris;

6) the Board was authorised to sell, transfer, rent, also secure as a guarantee

or indemnity the company’s long-term assets the total value of which cannot

exceed LTL 20m over the economic year with the condition that corresponding

expenses were included into the company’s annual budget approved by the Board.

The permit is issued for one year and it can be renewed for successive periods.

7) the Board member of AB Rokiškio Sūris Aldona Tursienė was allowed to take a

position as a Board member of AB Varėnos Pieninė. The Board member of

AB Rokiškio Sūris Toby Moore was allowed to take a position as a Board member

of AB RAF Avia, air freight company in Latvia.

8) Issues regarding reorganisation and increase of the authorised capital were

not considered.
