CONVOCATION OF A GENERAL SHAREHOLDERS’ MEETING



On 14 March 2002, the Management Board resolved to convoke a general

shareholders’ meting at 1 p.m. on 18 April 2002.

1) approval of the report on the company’s performance in 2001. Speaker:

Viktoras Valentukevicius, member of the Management Board, director of economy;

2) consideration of audit results of financial statements for the year 2001

(conclusion of the independent auditor UAB Deloitte & Touche). Speaker:

representative of the audit company;

3) approval of financial statements of 2001. Speaker: A.Avizinis, chief

financier of the company;

4) profit (loss) appropriation. Speaker: A.Avizinis, chief financier of the

company.
