UAB COMLIET SIGNED THE LETTER OF INTENT



On 28 May 2002, UAB Comliet, a subsidiary of AB Lietuvos Telekomas, together

with AS Merko Ehitus Ltd signed the Letter of Intent regarding the full

acquisition of shares ofAS Telegrupp, Estonia. The majority stake of the

company will belong to UAB Comliet. Estonian AS Telegrupp provides low voltage

network construction and maintenance services.
