REGISTRATION OF A CHANGE IN THE ARTICLE OF ASSOCIATION

On 18 December 2002, a change in the article of association of the bank

was registered at the state Land and Other Real Property Enterprise in

relation to an increase of the share capital by LTL 4 million. The share

capital registered at the bank upon the distribution and full settlement

of the new issue of shares amounts to LTL 38.021.000.
