REGARDING DISPOSAL OF A BLOCK OF SHARES

On 14 August 2003, Lietuvos Energija AB sold 100 percent block of shares held

by it in the subsidiary Skaipas UAB to joint Lithuanian-German company Fesla

UAB. On 14 August 2003, the parties made a complete settlement.
