Regarding increase of the authorized capital of Uotas UAB, which is a subsidiary

company of Mazeikiu Nafta AB



On January 17, 2005 the Board meeting of Mazeikiu Nafta AB passed a decision to

acquire 15500 (fifteen thousand five hundred) ordinary registered shares with a

nominal value of LTL 1000 (one thousand) of the new issue of a subsidiary of

Mazeikiu Nafta AB Uotas UAB the authorized capital of which is by 100 percent

owned by Mazeikiu Nafta AB.
