Regarding the suspension of trade in securities of the company and the change in

the nominal value and number of shares



On December 27, 2004, the General Meeting of Shareholders of Gubernija AB

decided to change the Articles of Association of the company, according to which

the nominal value of the company's share has been reduced from 10 litas to 1

litas. A share worth 10 litas by nominal value has been replaced by ten shares

worth 1 litas by nominal value. The authorized capital of the company after the

change equals 21 786 000 litas. It is divided into 21 786 000 ordinary

registered shares of 1 litas by nominal value.

The new wording of the Articles of Association of Gubernija AB was registered

with the Register of Legal Persons on February 2, 2005. The Vilnius Stock

Exchange had not been notified about the change in the nominal value and number

of the shares before the placement of the documents on this corporate action to

the Register of Legal Persons. As a result trading in securities of the company

had not been suspended.

With regard to the above, Gubernija AB applied to the Vilnius Stock Exchange

asking to suspend trading in securities of the company till the Central

Securities Depository of Lithuania makes corresponding entries in general

securities accounts of account managers in accordance with the documents placed

by the company. 

The nominal value and number of the shares of the company with respect to the

shareholders will be changed in accordance with the list of shareholders

announced by the Central Securities Depository of Lithuania on the record day of

the stock event.
