Notice of the General Meeting of Shareholders



By the initiative and the decision of the Board of March 24, 2005, the annual

GMS of Gubernija AB will be held on April 28, 2005 at 2:00 pm at the hall of the

company, located in Dvaro g. 179, Siauliai.

Registration of shareholders starts at 1:00 pm.

The registration date of the GMS is April 21,2005.

Personal identification documents and statements of securities accounts will be

required from the shareholders and proxies will be required from their

authorized representatives. 

On the agenda:

1. Approval of the report on the activities of the company.

2. Approval of the annual financial statements of the company.

2. Profit (loss) appropriation.

3. Regarding the use and removal of reserves.
