The transfer of company's sections of activity



On 31 August, 2005, Linas AB Board ratified the transfer of company's sections

of activity - textile articles production activity and immovable property

activity, organizationally structuring separate autonomic economic units, to

subsidiary companies Lino investicinis fondas UAB and Linas Nordic UAB as

non-monetary contribution to new emitted stocks of these companies.

Linas AB as an exclusive shareholder of Linas Nordic UAB and Lino investicinis

fondas UAB on 31 August, 2005, passed a decree to increase the authorized

capital of Linas Nordic UAB from LTL 10 000 (ten thousand) to LTL 5 999 000

(five million nine hundred ninety nine thousand) as shareholder's additional

non-monetary contribution by emission of 5 989 (five thousand nine hundred

eighty nine) ordinary registered shares, nominal value of every is LTL 1 000

(one thousand) and to increase the authorized capital of  Lino investicinis

fondas UAB from LTL 10 000 (ten thousand) to LTL 12 371 000 (twelve million

three hundred seventy one thousand) as shareholder's additional non-monetary

contribution by emission of  12 361 (twelve thousand three hundred sixty one)

ordinary registered shares, nominal value of every is LTL 1 000 (one thousand),

and to rafity new regulation editions of these companies.
