To approve  the Amendments to the Amended and Restated Agreement at the

Extraordinary General Meeting to be convened at 13.00 PM on 10 October 2005.

(To approve and apply as from 1 September 2005 the following transshipment rates

to oil products shipped from SC Mazeikiu nafta to SC Klaipedos Nafta: Fuel oil-

- LTL 12.50 per ton; other oil products - LTL 11.50 per ton
