Registration of the share capital increase



On 30.11.2005 the extraordinary  general  meeting  of  aktsiaselts  Tallink  Grupp

decided to increase the share capital of the company to 1,365,000,000  kroons  and

to issue 26,500,000 new shares.  The  above-referred  share  capital  increase  by

265,000,000 kroons was registered with the Commercial Register on  13.12.2005  and

the relevant information was submitted to the Tallinn Stock Exchange  to  commence

the listing of the 26,500,000 new shares.



In order to simplify the allocation and the trading of the shares  of  aktsiaselts

Tallink Grupp after the initial public offering that  took  place  in  the  period

from 21.11.2005  to  01.12.2005  aktsiaselts  Infortar  lent  26,500,000  existing

shares to Citigroup Global Markets Limited, the lead manager of the offering,  and

in return received from the lead manager of the  offering  26,500,000  new  shares

that the lead manager subscribed in the course of the new share issue. As  of  the

registration of the  share  capital  increase  with  the  Commercial  Register  on

13.12.2005 aktsiaselts Infortar obtained all the rights deriving  from  these  new

shares. Therefore, as at 13.12.2005, after the registration  with  the  Commercial

Register, aktsiaselts Infortar  owns  58,084,808  shares  of  aktsiaselts  Tallink

Grupp representing 42.55% of the share capital of aktsiaselts  Tallink  Grupp  and

of the votes represented by the shares.
