SALE OF SHARES IN SUBSIDIARY



On 14.08.2000 Klementi made an agreement for sale of its 100% 

subsidiary AS Profline at nominal value of EEK 2.5 million to OÜ 

Unisekt.



At the same time OÜ Unisekt pawned 100% of Profline shares in favor 

of Klementi, until 90% of the price of shares is paid.



The transaction details will be published after Unisekt has met all 

the terms and conditions of the agreement, but not later than on 

14.09.2000. 



This is an MBO-type transaction, as the head of AS Profline, Mr. 

Urmas Rohi, also heads OÜ Unisekt.



Members of AS Klementi Management and Supervisory Boards do not have 

business interests in the aforementioned transaction. 



AS Profline was founded by Klementi on 28.08.1998. The company is 

produces and sells professional apparel. In 1999 AS 

Profline turnover was EEK 13.2 million and net profit EEK 656 

thousand. At 31.12.1999 AS Profline balance sheet volume stood at EEK 

6.7 million.
