Invalda AB, Lietuvos dujos AB and Vilkyskiu pienine AB shares to be listed on the Main List of the Vilnius Stock Exchange

From January 1, 2008, shares of Invalda AB, Lietuvos dujos AB and Vilkyskiu pienine AB will be upgraded to the Vilnius Stock Exchange (VSE) Main List. Such a decision was made at the VSE Management Board meeting on December 17, 2007.

By this step the companies demonstrate their maturity and commitment to the capital markets community to maintain corporate transparency and governance at the top level. As the bulk of trading volumes is generated by the Main List companies, we believe that this step will make a positive impact on the liquidity and value of these shares”, said Arminta Saladžienė, Chairman of the VSE Management Board.

As of January 1, 2008 the Baltic Main List will contain 40 companies, including 15 issuers from Lithuania.

Invalda AB
is one of the largest investment companies in Lithuania. The principal area of activity of the company is the investment and reinvestment into securities. Main sectors for investment: real estate, finance, furniture and wood industry, and pharmaceuticals. Companies by sectors: Real estate (In Real, Invalda Real Estate fund), Hotels Management (Valmeda), Wood and furniture industry (Vilniaus Baldai, Minija, Kelio Zenklai), Financial services (Finasta, Finasta Ivesticijų Valdymas, Pozityvios Investicijos), Pharmaceuticals (Sanitas, Endokrininiai Preparatai), others (Umega, Hidroprojektas).

At the end of 2006 the consolidated net profit of Invalda group made LTL 75.6 million (EUR 21.9 million), whereas at the end of Q3 2007 it constituted LTL 47.3 million (EUR 13.7 million). The contribution of the consolidated net profit that fell on the shareholders of Invalda AB stood at LTL 65.5 million (EUR 18.9 million) and LTL 40.3 million (EUR 11.7 million), accordingly. As of December 5, 2007, the largest shareholders of the company (holding more than 5% of the company’s authorized capital) were the following: Vytautas Bučas – 20.07%, Dailius Juozapas Mišeikis – 6.46%, Darius Šulnis – 4.83%, Lucrum investicija UAB – 17.09%, Algirdas Bučas – 9.22%, Daiva Banienė – 4.31% and Alvydas Banys.
The average market capitalization of the company during Q3 2007 amounted to LTL 827.6 million (EUR 239.7 million).

The core activity of the company Lietuvos dujos AB is natural gas purchase (import) and sales to its clients, transmission and distribution services, sustainable development of Lithuania’s natural gas supply infrastructure, most of which are owned by the company. It supplies gas to heat and power generating enterprises, industrial and agricultural enterprises, to commercial and residential natural gas consumers. The company transmits natural gas by transit to the Kaliningrad Region of the Russian Federation. It has more than 520 thousand customers and more than 1,900 employees. The authorized capital of the company is LTL 469 million (EUR 136 million), which consists of 469,068,254 ordinary registered shares at LTL 1 par (EUR 0.289). In 2006, the net profit of the company made LTL 59,14 million (EUR 17.12 million). At the end of the third quarter of 2007, the net profit of the company was LTL 86,88 million (EUR 25.16 million). As of December 5, 2007, the largest shareholders of the company (holding more than 5% of the company’s authorized capital) were the following: Lithuanian Government – 17.70%, E.ON Ruhrgas International AG (Germany) –38.91 and Gazprom OAO (Russia) – 37.06%.

Vilkyskiu Pienine AB is one of the most advanced cheese production dairies in Lithuania holding an approx. 15% domestic market share, the fourth largest among Lithuanian producers.
Since 1999 Vilkyskiu Pienine has invested over LTL 18 million in production technologies, focusing primarily on innovation and human resources. Vilkyskiu Pienine is currently distinguished on the market by efficient organization of production, flexible management structure, and high quality of products and personnel competence. The company’s other equally important strengths include reliable suppliers, established long-term sales relations, and attractive pricing policy.
Products are made under traditional Lithuanian, world and original recipes. Vilkyskiu Pienine currently offers 29 cheese products in 10 categories as well as nine butter and butter mix products. Vilkyskiu Pienine exports most of its products. The main markets for Vilkyskiu Pienine are the EU, neighboring Latvia and Estonia, Russia (including the Kaliningrad Region) and the United States. Vilkyskiu Pienine also exports its products to Israel, Venezuela and other countries.
The authorized capital of the company is LTL 9 million (EUR 2.7 million), which consists of 9,353,000 ordinary registered shares at LTL 1 par (EUR 0.289). In 2006 the consolidated net profit of the company made LTL 3.8 million (EUR 1,1 million). At the end of the third quarter of 2007, the net profit of the company was LTL 8,099 thousand (EUR 2,345 thousand). As of December 5, 2007, the largest shareholders (holding more than 5% of the company’s authorized capital) were the following: Gintaras Bertašius – 64.33%, clients of the Hansabank – 7.20% and clients of the Skandinaviska Enskilda Banken – 5.00%.
