DECISIONS OF THE TSE SUPERVISORY BOARD

The Supervisory Board of the Tallinn Stock Exchange held a meeting on
Monday, 17.05.1999.

The Supervisory Board approved the 1998 management report and agenda
for the annual general meeting of shareholders, and heard the TSE Q1
1999 management report presented by the Chairman of the Management
Board.

The Supervisory Board recalled the following members of the
Management Board: Jüri Käo, Hilma Naaber, Toomas Tsopp and Margus
Uudam. The Management Board of the TSE will continue with two
members, including Gert Tiivas and Jaanus Erlemann. The
aforementioned decision proceeds from the TSE management
restructuring plans, according to which the owners of the Tallinn
Stock Exchange will be represented only in the Exchange’s Supervisory
Board.

The Supervisory Board appointed Kilvar Kessler the Chairman of the
TSE Surveillance Committee.

The Supervisory Board satisfied the resignation application of the
member of the TSE Listing Committee, Mart Mägi. The Supervisory Board
elected Roy Vaimand (manager of the corporate finance department of
KPMG Estonia), Mart Habakuk (manager of the corporate finance
department of PriceWaterhouseCoopers) and Erkki Raasuke (chief
financial officer and member of the Management Board of Hansapank)
the new members of the TSE Listing Committee.
