ANNOUNCEMENT

 

REORGANIZATION OF SUBSIDIARY

 

Yesterday AS Pro Kapital submitted to Commercial Registry documents 

to reorganize its fully-owned subsidiary OÜ Nurmelin into a public 

limited company.

 

The new business name of Nurmelin is AS Kristiine Kaubanduskeskus. 

AS Pro Kapital raised Nurmelin's capital stock by EEK 100,000,000 

through non-monetary payment, by settling the accounts between the 

two companies.

 

After reorganization into public limited company, Nurmelin's 

capital stock in total value of EEK 180,000,000 will be divided 

into nominal shares with EEK 10 par value, each of which entitles 

the holder to one vote at the shareholders' general meeting.

 

Supervisory Board of AS Kristiine Kaubanduskeskus consists of 

Ernesto Achille Preatoni, Ilona Saari and Aivar Pihlak; Andrus 

Laurits and Allan Remmelkoor were appointed the company's 

Management Board members. The company will be audited by Andres 

Root.
