DECISIONS OF THE COUNCIL MEETING



At its first meeting today, the new council elected Mr. Anders Sahlén

as its chairman and Mr. Gunnar Okk as its vice-chairman.



The council also approved the terms of the new employee option

programme as follows:

Number of options issued: Up to 1,300,000 shares, consisting of two

equal tranches. The options of Tranche A are exercisable during April

2-17, 2001 and the options of Tranche B are exercisable during April 2-

17, 2002.

Persons entitled to the options: top managmenet and key executives

(approximately 65 persons).

Maximum amount of options issued to one person: top management – up to

40,000 shares; other key personnel – up to 10,000 shares.

Strike price of the option: EEK 138.60 per share.
