SIGNING OF AGREEMENT



On 19.06.2000 AS XXL.EE and OÜ Balti Realiseerimiskeskus made an agreement 

for sale of AS PCT Liising shares, and an agreement whereby XXL.EE will 

remise its claim against AS PCT Liising. The shares were sold at price of 

EEK 1; the cost of the claim was EEK 6.9 mln. 

Proceeds from these transactions will be used to partially pay back the 

company's bank loans. These transactions were among the last steps in the 

process of restructuring AS XXL.EE into a new media services-focused company. 

As a result of these transactions, AS XXL.EE will carry a loss of EEK 

510,423.
