Optiva Pank: Sampo Finance will buy majority holding in Optiva Pank

SAMPO FINANCE WILL BUY MAJORITY HOLDING IN OPTIVA PANK

Sampo Finance Ltd. and Central Bank of Estonia today signed an
agreement to buy a holding in Optiva Pank. Sampo Finance Ltd. will
buy 57.9% of Optiva Pank shares. The shares will be sold at price of
EEK 214,360,000. The agreement will become effective after the
Finnish and Estonian supervisory institutions have issued permits, as
stipulated by law.

Central Bank of Estonia obliges under the contract to carry part of
the possible loss from realization of risk assets. According to
audited reports, the volume of risk assets is EEK 332 million.

Ühispank has informed Sampo of its wish to sell its 18.8% holding in
Optiva Pank. The goal of Sampo is to finalize the transactions with
the Central Bank and Ühispank as soon as the supervisory institutions
have issued the permits. Sampo Finance will make a take-over bid to
small shareholders to buy Optiva Pank shares at the same price as
offered to Ühispank for its holding in Optiva.

Purchase of Optiva Pank enables Sampo to develop in Estonia the same
financial and insurance services conception as applied in Finland
(Sampo-Leonia).
