CO-OPERATION AGREEMENT

On 23.08.2000 AS Viisnurk and Vattenfall Estonia OÜ signed an agreement,
whereby Vattenfall will build a boiler-house and heat pipe to Pärnu (address:
Niidu St 9/11), with an aim to unite the aforementioned territory with other
Viisnurk-owned premises. AS Viisnurk lumber center and soon-to-be-completed
glued solid wood panels production factory are currently located on this
territory.

Works to be completed under the aforementioned agreement mark the first steps
to end the production of heat energy in Viisnurk and full transfer to bought-
in heat energy. The parent company may then focus on development of its main
activity field, i.e. processing of lumber. Co-operation with Vattenfall will
secure modern and secure solutions to all heat energy related issues. The new
boiler-house is scheduled to be completed by 24.11.2000, and heat pipes by
15.06.2001.

In July 1999 Vattenfall Estonia bought from Viisnurk a majority holding in
Pärnu's second largest central heating provider Ülejõe Soojusvõrk. The two
companies then made a long-term agreement for buying heat energy. The current
agreement will set the final basis for long-term co-operation between Viisnurk
and Vattenfall.

Vattenfall Estonia OÜ is a subsidiary of European sixth largest electricity
producer Vattenfall AB. In 1999 the turnover of Vattenfall stood at SEK
27.754 million and net profit at SEK 2.538 million.
