ANNOUNCEMENT

 

LISTING COMMITTEE'S DECISION ABOUT AS PRO KAPITAL GRUPP

 

On August 28, 2001, Tallinn Stock Exchange (TSE) Listing Committee

decided to delist the shares of AS Pro Kapital Grupp (PKG). The 

decision will come into effect on August 29, 2001. Thus, the last 

listing date of PKG shares is September 28, 2001.

 

In consideration of investors' interests the Listing Committee 

decided to enable trading in PKG shares between September 3 and 

September 28, 2001.

 

In view of the presented materials, and after hearing the grounds 

of the representatives of PKG, the Listing Committee decided that 

PKG has repeatedly violated provisions of the TSE Rules and 

Regulations, which might have affected the investors' interests.

 

Committee is of the opinion that the factors for delisting are 

PKG's long-term and repeated delay of information disclosure, 

fully or partially keeping significant information undisclosed, 

disclosing incorrect, inadequate and misleading information. 

Additionally, the Committee finds that the company's related 

persons have repeatedly violated the restrictions for trading in 

issuer's shares as of in line with the TSE Rules and Regulations.

 

The full text of the Listing Committee's decision will be published

within five stock exchange days through TSE information system.
