CHANGING THE HANSA CAPITAL LEGAL STRUCTURE

On November 30, 2001 AS Hansa Capital and a/s Hansabanka signed an
agreement whereby SIA Hanza Lizings will be sold to Hansabanka. The
price of the transaction is based on the net asset value of Hanza
Lizings as of November 30, 2001, which will be determined within 5
days from signing the agreement.

The Group decided to change Hansa Capital’s legal structure because
under the current banking regulatory restrictions it started to
hamper the funding and thus the development of leasing and factoring
operations in the Baltics. The management structure of Hansa Capital
Group will remain unchanged.

Hansa Capital’s Lithuanian subsidiary, UAB Hanza Lizingas, will be
sold to the merged Hansa-LTB during the first half of 2002.
