On  December  16, 2002 JSC "Olainfarm" received a notification from its

shareholder  SIA  "Olmafarm"  regarding acquisition of 2,661,276 closed

issue  registered shares in "Olainfarm", and that a commercial lien was

been  registered  on the said shares in Commercial Lien Register of the

Republic  of  Latvia on December 2, 2002. The lien is to the benefit of

Privatisation Agency.

The  2,661,276  shares  in  question  build 25.69% of "Olainfarm" share

capital,  and  "Olmafarm" acquired them pursuant to the Instalment Plan

Purchase  Agreement  signed  on August 28, 2002. Altogether  "Olmafarm"

holds 7,252,365 JSC "Olainfarm" shares, or 70.74% of its share capital.
