Pursuant to the provisions of the agreement between JSC "Olainfarm" and

LLC  "AROMA",  on  December  22, 2000 Company Management Board passed a

resolution as to acquisitions in the following companies:

SAS  "Aroma-Pēterburga"  (St.  Petersburg,  Russian  Federation)  -  51

shares;

LLC "Olfa" (Kiev, the Ukraine) - 6630 capital shares;

LLC "Stimfarm" (Tallinn, Estonia) - 51 capital shares.

On  January  29,  2002 JSC "Olainfarm" received copies of the documents

from  the  Company  Registers  of  the respective countries, certifying

registration  of  the key documents. Thus, JSC "Olainfarm" has acquired

51% ownership interest in each of the said companies.
