Today, on 7th July, the Supervisory Board of AS Eesti Hoiupank approved

the  proposal of Hansa Capital, a subsidiary of Hansapank, according to

which  Hansa  Capital  will buy 100% of the shares of Hoiupanga Liising

AS,  a  subsidiary  of Hoiupank. The price of the transaction is EEK 66

million.

Both  Hansapank  and  Hoiupank  are  the owners of 100% shares of their

respective   subsidiaries.   Hansa  Capital,  the  holding  company  of

Hansapank  Leasing  Group,  has the share capital of EEK 40 million and

the share capital of Hoiupanga Liising is EEK 66 million.

According  to  the concept of merger, operations of the subsidiaries of

Hansapank  and  Hoiupank  will  be merged in parallel with or after the

merger of the banks.
