COMMENTS ON VALDIS JAKOBSONS’ INTERVIEW TO KAUPPALEHTI
Valdis Jakobsons, the Chairman of the Management Board of Grindeks, the parent
company of Tallinna Farmaatsiatehas, gave an interview to a Finnish newspaper
Kauppalehti lately confirming that Grindeks intends to terminate the listing of shares
of Tallinna Farmaatsiatehas on Tallinn Stock Exchange.
Grindeks holds 93.52% of the shares of Tallinna Farmaatsiatehas and wants to buy
the remaining shares from the minority shareholders of Tallinna Farmaatsiatehas.
The takeover of shares for the price announced in July 2004 was unsuccessful as the
respective resolution was not adopted on the proposed conditions in the general
meeting of shareholders. As indicated in the interview of 16 February 2005, Grindeks
has not given up its intention to buy the remaining shares and terminate the listing of
shares. There is no intention to make a takeover bid to the minority shareholders.
