ADOPTED DECISIONS OF A GENERAL MEETING OF SHAREHOLDERS



On 1 February, 2000 the general shareholders' meeting was held.

It decided to:

1) suplement and amend the Articles of Association;

2)remove from office the following members of the Board: J.R.Kazlauskas,

A.M. Kregždė, E.Strodomskas, J.V.Jurgaitis, and E.G.Lundbergas.

3)elect the following persons to the Supervisory Board: Ramūnas Lygis,

state consultant ; Vytenis Juknevičius, vice minister of the Ministry

of Economy; Faustas Juška, manager of the Energy Strategy Department

of the Ministry of Economy;

Rimantas Kluonis, chief economist of Loan and Guarantee Management

Division of the Ministry of Finance; E.G. Lundbergas, representative

of AB Vattenfall;

4)establish that in 2000  the borrowings to supplement current assets

shall not exceed LTL 340 million, and the borrowings for export loans

(tied long term)  that shall be used to finance the repair,

reconstruction, or building of energy objects shall not exceed

LTL 95 million;

5)postpone decision concerning the authorisation of the head of the

administration to make official borrowing documents;

6)increase the authorised capital by LTL 11, 087, 670  by issuing

1, 108, 767 registered shares at the nominal value of LTL 10.00 each

following Resolution No1220 of the Government of the Republic of

Lithuania of November 4, 1999. The shares shall be

distributed as follows:

a) 66, 756 shares to the state;

b) 675, 344 shares to the municipalities;

c) 366, 667 shares to legal and natural persons.

Shares shall be distributed to the owners of transferable assets by

way of a private offering proportionally to the value of their property

contribution.
