REGARDING SIGNING OF THE FRANCHISE AGREEMENT



On 13 March 2001, the franchise agreement was signed between "Valmeda",

subsidiary of holding company Invalda, and "Bass Hotels & Resorsts. Inc"

regarding "Holiday Inn" hotel in Vilnius. The term of the agreement is 20 years.
