DECISION OF THE GENERAL SHAREHOLDERS’ MEETING



On 30 April 2002, the general meeting of AB Panevezio Pienas shareholders

decided to:

1) approve the report of the Management Board on the company’s performance in

2001;

2) approve the company’s annual financial statements;

3) not to approve profit appropriation;

4) not to approve the decision to revoke the Management Board.
