DECISIONS OF A GENERAL SHAREHOLDERS’ MEETING



At 2 p.m. on 28 May 2002, the extraordinary meeting of AB Dvarcioniu Keramika

shareholders took place at the company’s premises. The shareholders’ meeting

resolved to:

1) approve acquisition of the long-term assets for the price higher than 1/20

of the company’s authorized capital;

2) approve pledge of the long-term assets;

3) supplement the company’s Articles of Association.
