FINAL AGREEMENTS BETWEEN WILLIAMS INTERNATIONAL COMPANY, OAO YUKOS OIL

CORPORATION, YUKOS FINANCE V.B. AND THE GOVERNMENT OF THE REPUBLIC OF LITHUANIA.



The Management Board of AB Mazeikiu Nafta decided during its meeting on 17 June

2002 to approve the final agreements between Williams International Company,

OAO "Yukos" Oil Corporation, Yukos Finance

B.V. and the Government of Republic of Lithuania.
