Resolutions of the extraordinary general meeting of shareholders



1. To authorize the Board of the Company to pass decisions concerning the

transfer of a part of the Company‘s activities related to immovable assets and a

part of the activities related to the manufacture of textile products, which in

organizational terms constitute separate autonomous economic units(including

long-term assets with the book value of 1/20 of the authorized capital of the

Company), to the subsidiary companies Lino investicinis fondas UAB (company code

300031867, located in S. Kerbedzio g. 23, Panevezys)and Lino gamybine grupe UAB

(company code 4853232, located in S. Kerbedzio g. 23, Panevezys)in exchange to

their shares. The parts of the activities are to be transferred in accordance

with the plan for the transfer of the parts of the company’s activities approved

by the Board and  the corresponding share subscription agreements of Lino

Investicinis Fondas UAB and Lino Gamybine Grupe UAB.

2. To authorize the Board of the Company to pass decisions concerning the

assurance or guarantee of performance of any obligations of the subsidiary

companies Lino Investicinis Fondas UAB (company code 300031867, located in S.

Kerbedzio g. 23, Panevezys)and Lino Gamybine Grupe UAB (company code 4853232,

located in S. Kerbedzio g. 23, Panevezys) related to the economic-commercial

activity of these companies in the amount exceeding 1/20 of the Company’s

authorized capital to third persons that is to be given by corresponding

agreements signed by the Company.    

3. To give authorization for the Board of the Company to pass decisions

concerning the pledge or mortgage of the long-term assets of the Company with

the book value  exceeding 1/20 of the Company’s authorized capital that may be

required in order to implement the transfer of the part of the Company’s

activities to the subsidiary companies Lino Investicinis Fondas UAB and Lino

Gamybine Grupe UAB in exchange to their shares.
