The Board of Zemaitijos Pienas AB at its meeting held on April 14, 2005 decided

to submit a proposal for the general meeting of shareholders on the payment of

dividend to the company's shareholders in the amount of LTL 0.20 per ordinary

registered share worth LTL 10 by nominal value.
