Regarding Resolutions of the General Meeting of Shareholders of AB Lietuvos
Dujos

1. On 29 April 2005, the General Meeting of Shareholders of AB Lietuvos Dujos
resolved to:

1.1. Take note of the conclusions presented to the shareholders of AB Lietuvos
Dujos in the auditor’s reports concerning the Company’s Financial Statements for
2004 and Annual Report for 2004.
1.2. Approve Annual Report on business activities of the Company in 2004.
1.3. Approve Financial Statements of the Company for the year ended 31 December
2004.
1.4. Approve the Profit (Loss) Appropriation of the Company for the year 2004
which provides LTL 33 million appropriation of profit for the shareholders’
dividends (LTL 0.07 per one ordinary registered share with nominal value of 1
Litas) for the year 2004.
1.5. Elect UAB Ernst & Young Baltic as an Audit Company to conduct an audit of
the Company financial statements as of 31 December 2005.
1.6. Remove Dr. Thomas Meyer from the membership of the Board of Directors of AB
Lietuvos Dujos and elect Mr. Stephan Kamphues to the membership of the Board of
Directors of AB Lietuvos Dujos.

2. Persons are entitled to receive the dividends if they were shareholders of
the Company at the end of the day of the General Meeting of Shareholders which
has declared the dividends, i.e. at the end of 29 April 2005. The dividends will
be paid through the Company’s (issuer’s) manager of securities AB FMI Finasta,
