DELISTING OF HANSAPANK SHARES

On June 1, 2005, AS Hansapank submitted to the TSE Listing and Surveillance
Committee ("the Committee") the application for delisting the shares of AS
Hansapank from the Tallinn Stock Exchange.

On June 9, 2005, the Committee decided to satisfy the application of AS
Hansapank and to delist the shares from the TSE Main List as from July 1,
2005. Thus the last trading day with the shares of AS Hansapank in the TSE
trading system will be Thursday, June 30, 2005.


The Council of AS Hansapank decided on May 24, 2005, to terminate the
listing of AS Hansapank shares on Tallinn Stock Exchange and to assign the
Board to submit the delisting application after the extraordinary general
meeting.

On May 30, 2005, the extraordinary general meeting of AS Hansapank
shareholders decided to approve the takeover of the 1% of the shares of AS
Hansapank from the minority shareholders by FöreningsSparbanken AB against
fair monetary compensation in the amount of EEK 211.23 (EUR 13.50) per
share.

As of June 7, 2005, FöreningsSparbanken AB owned 99,16% of the shares of
AS Hansapank. The 408 minority shareholders owned 0.84% of the shares of
AS Hansapank. The closing price of the shares was EEK 211.23 (EUR 13.5).

The Committee found that considering (a) the structure of AS Hansapank
shareholders, (b) the fact that FöreningsSparbanken AB has made voluntary
takeover bid for acquiring all the shares of AS Hansapank, (c) the general
meeting of AS Hansapank approved the takeover of the minority shares
against fair monetary compensation, the delisting would not materially
damage the interests of the investors and would not give some of the
shareholders an unfair advantage before or on account of the other
shareholders.
